Biography:

Kimberley S. Spies was born in Kansas City, Missouri and has been a practicing attorney in Missouri for over twenty years. As a shareholder and Director of King Hershey, she continues to concentrate her practice in the areas of public finance and business transactions. Ms. Spies has served in a full range of roles in municipal transactions, including bond, underwriters', issuer's and developer's counsel. In commercial transactions she has acted as lender's, developer's and credit provider's counsel. She also handles real estate and economic development matters for governmental entities.

Ms. Spies has assisted bond issuers and underwriters in a number of Midwestern states in structuring, negotiating and documenting bond issues, ranging from traditional financings to innovative offering structures including special obligation revenue, double barreled, leasehold revenue, general obligation, certificates of participation, capital appreciation bonds, and other financing techniques. Her practice has included project financing for college campus improvements, health care facilities, parking and transportation, airports, stadiums and convention center projects. She also has substantial experience in preparing disclosure documents for governmental entities.

Ms. Spies has authored Missouri legislation and regulations, as well as articles related to public finance. She has worked closely with Missouri issuers to craft legislation and regulations to establish new bond programs in the state, including financings using economic development incentives to promote job creation and retention, as well as programs for water pollution control and education needs.

In addition to her public finance background, Ms. Spies has experience negotiating and preparing complex corporate and commercial transaction documents in the private sector. Ms. Spies has prepared conventional loan documentation for financial institutions on a transactional basis. She has advised clients on the formation and structure of business entities and handled business transactions including stock and asset acquisitions for a broad scope of corporate clients. She has drafted and negotiated a variety of business and commercial contracts.

Ms. Spies received a Juris Doctor from the University of Missouri - Kansas City School of Law in 1983. She graduated with distinction and is a member of the Order of the Bench and Robe Honor Society. While in law school she was the Articles Editor for The Urban Lawyer from 1982 to 1983. She also served on the UMKC Law Review from 1980 to 1983. Ms Spies also received a Bachelor of Business Administration and a Master of Arts in Economics from the University of Missouri - Kansas City.

She is a member of the Missouri Bar Association, the Kansas City Metropolitan Bar Association, National Association of Bond Lawyers and Women in Public Finance.

Kim and her husband Greg have three children.
